Introduction

These Terms of Use (the “Terms” or the “Agreement”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Owlytic I.O Ltd. (the “Company”, “we”, “us”, or “our”), governing your access to and use of the Company’s website located at https://owlytic.io, the application located at https://app.owlytic.io, and all related services, systems, APIs, features, and functionalities (collectively, the “Services”). By accessing, registering for, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease any use of the Services.

1. Description of the Services

The Services provide a financial data aggregation, accounting, and analytics platform designed to enable users to access, consolidate, manage, and analyze financial and accounting information obtained from multiple sources. Such sources may include banks, financial institutions, enterprise resource planning (ERP) systems, governmental APIs, and other third-party providers. The Services may include financial reporting tools, accounting functionalities, automated and AI-based analyses, integrations with external systems, and related data processing capabilities.

The Company operates solely as a technology platform and data intermediary. The Company does not provide banking services, does not execute payment transactions, does not act as a broker or financial institution, and does not provide regulated financial, accounting, tax, or legal advice. The Services are purely technological tools that process and present data received from third-party sources.

2. Eligibility and Use of the Services

You represent and warrant that you are at least eighteen (18) years of age and that you have the legal capacity and authority to enter into this Agreement, including on behalf of any entity you represent. Your use of the Services must comply with all applicable laws and regulations, including those relating to financial data, privacy, and electronic communications. The Company reserves the right, at its sole discretion, to restrict, suspend, or deny access to the Services to any user at any time.

Access to the Services may be provisioned directly by the Company or through authorized partners and may not necessarily be available on a self-service basis. You acknowledge that access credentials are personal and must not be shared.

3. User Accounts and Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to implement appropriate safeguards to prevent unauthorized access to your account and to notify the Company immediately of any suspected unauthorized use. The Company may require the use of multi-factor authentication and other security measures as a condition of access to the Services.

The Company shall not be liable for any loss or damage arising from unauthorized access to your account resulting from your failure to maintain the confidentiality of your credentials or from any actions performed using your account.

4. Open Banking Authorization and Third-Party Integrations

The Services rely on integrations with third-party systems, including banks, financial institutions, ERP systems, and governmental APIs, including, where applicable, APIs provided by regulatory authorities such as the Bank of Israel. By using the Services and connecting such systems, you expressly authorize the Company to access, retrieve, store, process, and display financial and accounting data on your behalf.

You acknowledge that all financial data is sourced from third-party providers and that the Company acts solely as a technical conduit and processor of such data. The Company does not originate, control, or independently verify such data, and all responsibility for the accuracy, completeness, and timeliness of such data rests with the relevant third-party provider.

You further acknowledge that access to such data is based on your explicit and informed consent, which may be revoked at any time, subject to technical and legal limitations. Upon revocation, the Company will cease further data retrieval from the relevant sources, but may retain previously collected data as required for legal, audit, compliance, or legitimate business purposes.

5. User Data and Responsibilities

You represent and warrant that you have all necessary rights, consents, and authorizations to provide the Company with access to any data used in connection with the Services, including financial data and credentials relating to third-party systems. You further warrant that all data provided is accurate, complete, and lawful.

You acknowledge that you are solely responsible for reviewing, verifying, and validating any outputs generated by the Services, including financial reports, analyses, and insights. You further acknowledge that any decisions made based on such outputs are made at your sole risk and responsibility, including any financial, legal, or tax consequences.

6. Fees and Payment Terms

Use of the Services may be subject to fees, as agreed between you and the Company. Unless otherwise expressly agreed in writing, all fees shall be payable in advance and shall be non-refundable. The Company reserves the right to modify pricing and payment terms at any time upon reasonable notice.

Any amount not paid when due shall be considered overdue. Without prejudice to any other rights or remedies available to the Company, overdue amounts shall bear interest at the rate of one and one-half percent (1.5%) per month (or the maximum rate permitted by applicable law, if lower), calculated from the due date until the date of actual payment, whether before or after judgment.

In addition, the Company reserves the right to suspend or terminate access to the Services in the event of non-payment, without liability to the Company, and to recover any reasonable costs of collection, including legal fees, to the extent permitted by law.

7. Acceptable Use

You agree to use the Services solely for lawful purposes and in accordance with these Terms. You shall not attempt to gain unauthorized access to the Services or any related systems, interfere with the operation or security of the Services, reverse engineer or attempt to extract source code, or use the Services in any manner that could harm the Company, its systems, or other users.

8. No Professional Advice

The Services and any outputs generated thereby do not constitute financial, accounting, tax, legal, or other professional advice. All information provided through the Services is for informational purposes only and must not be relied upon as a substitute for professional advice from qualified professionals.

9. Financial Data and Output Disclaimer

All financial and accounting data presented through the Services is obtained from third-party providers, including banks, financial institutions, ERP systems, and governmental sources, and is provided strictly “as is” and “as received.” The Company does not verify, validate, reconcile, or audit such data and shall not be deemed the source of truth of any financial information.

You acknowledge that the originating financial institution or system is the sole and final authority with respect to such data. Any discrepancies between the Services and official records of the relevant financial institution shall be resolved exclusively in favor of such institution.

The Company shall have no responsibility whatsoever for any errors, omissions, inconsistencies, delays, or inaccuracies in such data, or for any outputs generated based thereon.

You acknowledge and agree that the Services may be used to generate financial reports, analyses, and outputs that may be relied upon for business, accounting, tax, regulatory, or legal purposes. Notwithstanding the foregoing, all such use and reliance are undertaken solely at your own risk. The Company shall bear no responsibility whatsoever for any consequences arising from such reliance, including financial losses, tax liabilities, regulatory exposure, or legal claims.

10. Artificial Intelligence Disclaimer

The Services may include automated and AI-based processing and analysis. Such outputs may be incomplete, inaccurate, or subject to limitations inherent in automated systems. You acknowledge that such outputs require independent verification and that the Company shall not be responsible for any reliance placed upon them.

You further acknowledge that the Services may perform automated financial calculations, classifications, and analyses, including through artificial intelligence or algorithmic processing. Such outputs may contain errors or inaccuracies and are not guaranteed to be correct, complete, or suitable for any purpose.

11. Limitation of Liability

To the fullest extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, loss of business opportunities, or regulatory penalties.

The Company shall not be responsible for any inaccuracies, errors, or delays in financial data originating from third-party providers, including banks, financial institutions, ERP systems, or governmental APIs, nor for any decisions made based on such data or outputs.

The User acknowledges that the Services are based on third-party data and automated processing, and that all use of the Services and reliance on outputs is at the User’s sole risk.

To the extent that liability cannot be excluded under applicable law, the Company’s total aggregate liability arising out of or in connection with the Services shall be limited to the fees actually paid by the User to the Company during the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, losses, and expenses arising out of or in connection with your use of the Services, your reliance on outputs, your violation of these Terms, or your violation of any applicable law or third-party rights including, without limitation, any claims, losses, or liabilities arising from financial decisions, tax reporting, regulatory filings, or reliance on outputs by you or any third party.

13. Intellectual Property

All rights, title, and interest in and to the Services, including all software, systems, algorithms, and technology, are and shall remain the exclusive property of the Company. You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Services solely in accordance with these Terms.

14. Suspension and Termination

The Company may, at its sole discretion, suspend or terminate your access to the Services at any time, with or without notice, including in cases of suspected misuse, security concerns, non-payment, or legal risk. The Company may suspend or terminate access immediately where it determines, at its sole discretion, that continued use may expose the Company to legal, regulatory, financial, or reputational risk.

15. Service Availability and Modifications

The Company does not guarantee uninterrupted or error-free operation of the Services and may perform maintenance, updates, or modifications at any time. The Company reserves the right to modify, suspend, or discontinue any part of the Services without liability.

16. Privacy and Data Protection

Your use of the Services is subject to the Company’s Privacy Policy, which describes how personal data is collected and processed. By using the Services, you acknowledge such processing.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Israel.

18. Miscellaneous

These Terms constitute the entire agreement between you and the Company with respect to the Services and supersede any prior agreements or understandings. If any provision is held to be unenforceable, the remaining provisions shall remain in full force and effect. The Company may assign its rights and obligations under these Terms without restriction, while you may not assign your rights without prior written consent.
